Terms of Service

Last updated: October 15, 2026

These Terms of Service (“Terms”) govern access to and use of KinMol: the business console, the till and books, business websites, customer accounts, table ordering, business email and the KinMol apps (together, the “Service”), operated by Nepfex Innovations Pvt. Ltd. (“KinMol”, “we”, “us”). By creating an account, signing in, or using the Service, yourself or on behalf of a business, you agree to these Terms.

1. Who these Terms apply to

  • Businesses that use KinMol, and the people who open and run their accounts
  • Staff a business gives access to (owners, admins, managers, cashiers, waiters, kitchen staff, accountants and others)
  • Customers of a business who create a customer account, join its membership, or order from a table

Where a business has signed a separate service agreement with us, that agreement governs and takes priority if the two conflict. These Terms work alongside our Privacy Policy, Acceptable Use Policy, Data Processing Agreement and Refund Policy.

2. Accounts and security

You must be 18 or over to open a business account, and you must have the authority to act for the business you register. You are responsible for keeping your password and devices secure and for all activity under your account. Do not share your account. Tell us immediately at hello@kinmol.com, and the business’s owner, if you suspect someone else has used it.

A business’s owner decides who has access and in what role, and is responsible for removing access when someone leaves. A matching email address never gives anyone access to a business; only an invitation from the business does.

3. Checking a business

Anyone can open a business and use the till, payment receipts and books straight away. Every business gives its PAN, and a business cannot publish a public website without one. Before a business can issue tax invoices, publish a public website, take online payments, or send email from or host mailboxes on its own domain, we check that the business is who it says it is, from a photo of its PAN card and its registration certificate. We may also ask for proof that the person applying may act for it. We may refuse or withdraw these features if a check fails or the information turns out to be false.

4. Charges

  • Using KinMol is free. Charges apply only to usage that costs us to provide, such as AI messages and generated images, at the rates published on our pricing page, or through a monthly package where offered
  • Prices are stated in Nepali rupees. Applicable taxes, including VAT, are added as the law requires
  • We will tell you before a rate changes, and a change never applies to usage that has already happened
  • We may suspend paid features for an unpaid balance after reasonable notice, without affecting amounts already due

5. Payments a business takes

When a business takes an online payment through KinMol, the payment is made through the business’s own gateway account (such as eSewa, Khalti or Fonepay) into the business’s account. The sale is between the business and its customer: the business is responsible for the goods and services, for refunds under its own policy, and for any dispute about them. KinMol is not a party to the sale and does not hold the money. The gateway’s own terms also apply.

6. Tax invoices, the books and your accounts

KinMol numbers tax invoices in sequence, without gaps, per fiscal year, and posts every settled sale to the business’s books. A tax invoice, once issued, cannot be deleted, only voided with a reason, and the record of both is kept.

KinMol keeps each business’s accounts in the Service, set up for how that business is registered (for example a sole proprietor, a partnership or a company) and whether it is registered for VAT. For the books, we take responsibility for:

  • Recording what the business and its staff enter by the double-entry rules built into the Service, so every entry balances and nothing posted is changed without a reversing entry
  • Keeping the books safe, backed up and available to the business and the accountant it chooses, and letting the business take a full copy at any time
  • Showing the business's reports (such as profit and loss, balance sheet, VAT and TDS registers) from those records, and reminders of filing and payment dates for its kind of business
  • Correcting, at no charge, any error in the books caused by a fault in the Service, once we know of it

The business remains responsible for:

  • The truth and completeness of what it enters: sales, purchases, prices, tax rates, payments and stock
  • Its tax registration, filing its returns, paying its taxes and keeping its records for as long as the law requires
  • Having its accounts audited where the law requires, by a licensed auditor it appoints
  • Checking each area of its books (such as opening balances, loans and journal entries) and having its accountant sign it off in the Service before those entries are posted

KinMol does not file returns, pay taxes or deal with tax offices on a business’s behalf, and does not act as its auditor, unless we agree that in writing separately.

7. Dues and customer credit

A business may let a known customer pay later, up to a limit the business sets. The amount owed is a debt between the customer and the business. KinMol records it and the repayments in the business’s books, but is not a lender and does not collect debts.

8. Ordering from a table

A guest who orders by scanning a table’s QR code places the order with the business, not with KinMol. The business decides whether to accept it and is responsible for preparing it and for the bill. Do not use a QR code to place orders for a table you are not seated at.

9. Customer accounts and membership

A customer who joins a business’s membership or creates a customer account does so with that business. The business decides what membership offers. A customer can see their history and dues with a business only after the business has linked them through a single-use link it sends, or after they join themselves. A customer can leave a business at any time.

10. NEX, our AI assistant and accountant

NEX drafts replies, reads bills and answers questions. A menu photo NEX makes is an illustration, and is labelled as made with AI wherever guests see it; an enhanced photo must still show the dish you actually serve. Anything NEX proposes that would change records or send a message needs a person’s confirmation. Do not use NEX to deceive customers or to break the law.

NEX also works as the business’s accountant: it explains the books, prepares entries for a person to confirm, and answers questions about Nepal tax and business law from information we collect from public sources such as the Inland Revenue Department and the Finance Act, with the date we last checked it.

NEX is an AI and can make mistakes. It can misread a bill, get a figure or a date wrong, apply a rule to the wrong kind of business, or rely on a law that has since changed. It is not a licensed auditor, tax adviser or lawyer. Check what NEX says before relying on it, especially amounts, tax, filing dates and anything sent to a tax office or a customer, and confirm with your own auditor or tax adviser before filing a return or making a tax decision. The business decides, and stays responsible for, every entry it confirms and every return it files.

11. Websites, domains and business email

  • A business is responsible for what it publishes on its website and sends by email, and for having the right to use any name, image or text it uploads
  • To use its own domain, a business must control that domain and prove it by adding the DNS record we give it. If the proof is later removed, we stop serving the domain after notice
  • Email from a business's domain is for messages its customers expect, such as invoices, receipts and booking confirmations. Do not use it for unsolicited bulk email. We may pause sending to protect delivery for everyone
  • Hosted mailboxes must be used lawfully and within their storage limits. Keep your own copies of anything important

12. Your content

You keep ownership of what you put into KinMol: your menu, products, photos, records and messages. You give KinMol the licence needed to store, process and display it to provide the Service. You confirm that you have the right to upload it and that it does not break the law or anyone’s rights. We may remove content that breaks these Terms.

13. Acceptable use

Use of the Service is subject to our Acceptable Use Policy. In particular, do not access data you are not allowed to see, get around security or usage limits, misuse payments, invoices or dues, or use the Service against the law.

14. Intellectual property

KinMol, NEX, their logos and the underlying software belong to Nepfex Innovations Pvt. Ltd. and its licensors. A business keeps all rights to the data it enters. We receive only the limited licence needed to host, process and display that data to provide the Service.

15. Data ownership, support access and portability

A business owns the data it stores in KinMol and may export a copy. To support a business, investigate a problem or keep the Service secure, authorised KinMol staff may access a business’s account for a limited time. Every such access is logged, and a business may ask us for the record. Personal data is handled as our Privacy Policy and Data Processing Agreement describe.

16. Third-party services

The Service works with third-party services, including payment gateways, our AI provider and our hosting providers. Their own terms and privacy policies apply to your use of them. We are not responsible for their availability or for how they handle information you choose to share with them.

17. Service availability

We aim to keep KinMol available and reliable, but the Service is provided on an “as available” basis. We may carry out maintenance, during which some features may be unavailable, and we will make reasonable efforts to tell business owners in advance of planned maintenance.

18. Disclaimers and limitation of liability

To the maximum extent permitted by law, KinMol is provided without warranties of any kind, express or implied, including about AI output. Nepfex Innovations Pvt. Ltd. will not be liable for indirect, incidental or consequential damages arising from use of the Service, or for the acts of businesses, their customers, payment gateways or other third parties. Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.

19. Suspension and termination

You may stop using KinMol at any time and ask us to delete your account, as described on our Account Deletion page. We may suspend or end access for a material breach of these Terms, after reasonable notice and a chance to put it right where practicable, except for fraud, misuse of payments or invoices, or a risk to others, which may lead to immediate suspension. A business’s tax invoices and books are kept for the period the law requires even after it stops using KinMol.

20. Changes to these Terms

We may update these Terms. We will change the date above and tell business owners of material changes before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

21. Governing law

These Terms are governed by the laws of Nepal. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal, unless otherwise required by applicable law.

22. Contact
